2. When do these terms apply?

These terms apply to every quote and every agreement between Salbeso and you as a client. If we deviate from them anywhere, we record that in writing. A client’s own purchasing conditions do not apply unless we expressly accept them.

If you only take the GlowReservations booking system, without a website or webshop, the terms at glowreservations.com apply to that subscription. These terms continue to apply to everything else we agree on.

3. Quotes and prices

The package prices on our website are fixed monthly prices for the content listed with each package. They assume you supply your own texts and photos. For more pages, new functionality or other extensions, you receive a separate quote in advance.

All prices stated are final prices. No VAT is charged, under the Belgian VAT exemption scheme for small enterprises. A quote remains valid for thirty days. The agreement takes effect as soon as you approve the quote in writing or by email.

We may index the monthly amount annually. If the price changes, we will let you know at least two months in advance. If you do not agree, you may terminate the agreement as of the date the new price takes effect.

4. Duration and cancellation

The subscription starts upon delivery of your website or webshop and runs from that moment for one year. During that first period the agreement cannot be terminated early, because the design and build work is settled within it.

After that first year the agreement continues on a monthly basis. You can then cancel at any time as of the end of the following month, without any notice or termination fee. To cancel, simply send an email to info@salbeso.com; we always confirm your cancellation in writing.

Upon cancellation your website stays online until the end of the paid period. After that it is taken offline. If you request a copy of your texts, photos and data beforehand, we will provide it.

5. What does the monthly fee include?

• the design and build of your website or webshop;
• hosting, updates and technical maintenance;
• small content changes in consultation;
• use of GlowReservations, our online booking system;
• support for questions by email or phone.

Not included are: new functionality or extensions beyond the agreed assignment, paid third-party services, and the supply of texts or imagery. If you do not yet have a domain name, we arrange one for you. If you later end your subscription, you can take over that domain name. We discuss such matters in advance and quote for them separately.

6. Your cooperation

To work smoothly we need your texts, photos, logo and any access details in good time. You warrant that you have the right to use the material supplied and that it does not infringe anyone else’s rights. If delivery is delayed because material is not forthcoming, we cannot be held liable for that.

7. Payment

Your subscription starts on the day your website goes live. You pay by direct debit: when you start your subscription you sign a SEPA mandate once, after which the monthly amount is collected automatically. Paying by card is also possible.

Payments run through Stripe. Before every collection you receive a notice with the amount and the date. Your subscription renews automatically for as long as you do not cancel it.

If a collection fails we let you know and give you the chance to put it right. If payment is still not made, we may pause your booking page and your website until it is. We only do so after notifying you in writing.

Invoices that do not run through direct debit, for custom work for example, are payable within fourteen days of the invoice date.

In the event of persistent non-payment, interest is due by operation of law under the Belgian Act of 2 August 2002 on late payment in commercial transactions, together with fixed compensation.

You receive your invoice by email or, if you are a business, as an electronic invoice through Peppol.

8. Ownership and right of use

For as long as your subscription runs, you receive a full right of use of the website or webshop we built for you. The underlying source code, technical building blocks and reusable components remain the property of Salbeso.

Your own content always remains yours: texts, photos, your logo, your brand identity and your client data. If you wish to take over the website entirely afterwards, that is open to discussion against a one-off buy-out fee.

We may mention and show your project as a reference on our own website, unless you let us know that you would rather we did not.

9. Liability

We do our work carefully and competently, but we cannot guarantee uninterrupted availability of the website. Outages at hosting providers, internet providers or other third-party services are beyond our control.

Our liability is limited to direct damage and to no more than the amount you paid us in the twelve months preceding the incident. We are not liable for indirect damage such as loss of profit, missed assignments or data loss. These limitations do not apply in cases of fraud, intent or gross negligence.

10. Force majeure

If we are temporarily unable to meet our obligations due to circumstances beyond our control, such as illness, hosting outages or third-party failures, those obligations are suspended. If the force majeure lasts longer than sixty days, either party may terminate the agreement in writing without compensation.

11. Privacy

How we handle personal data is set out in our privacy policy. If we process data on your behalf, for example your clients’ data via the booking system, we will conclude a data processing agreement for that at your request.

12. Complaints and applicable law

If you have a complaint, please tell us first via info@salbeso.com. In most cases we sort it out together quickly. Complaints about an invoice should reach us within fourteen days of the invoice date.

Belgian law applies to our agreements. Disputes we cannot resolve by mutual agreement will be submitted to the competent courts of the judicial district of West Flanders.

These terms exist in several languages. In the event of any discrepancy between versions, the Dutch text prevails.
